The Extraordinary Annual General Meeting has authorized IONOS Group SE on Januar 26, 2023 to acquire treasury stock in accordance with Sec. 71 Par. 1 No. 8 German Stock Corporation Act (AktG) up to a total of 10% of the capital stock. The authorization was issued for the period up to August 31, 2026.
Treasury shares can be used for all purposes stated in the authorization of the Extraordinary Annual Shareholders' Meeting of January 26, 2023, in particular for current and future employee stock ownership plans and / or as an acquisition currency, or may also be cancelled.

Share buyback program January 2025
The Management Board of IONOS Group SE resolved, with the approval of the Supervisory Board as of 21 January 2025, to launch a share buyback program and to acquire up to 1,500,000 treasury shares (corresponding to approximately 1.1% of the share capital of EUR 140,000,000) via the stock exchange. The volume of the buyback program amounts to a total of up to EUR 40 million (excluding associated costs).
The buy-back program will commence on 27 January 2025. It will be completed no later than 31 December 2025.

Share buyback program May 2024
The Management Board of IONOS Group SE resolved on 8 May 2024, with the approval of the Supervisory Board, to launch a share buyback program and to acquire up to 850,000 treasury shares (corresponding to approximately 0.6% of the share capital of EUR 140,000,000) via the stock exchange. The volume of the buyback program amounted to a total of up to EUR 25 million (excluding associated costs). The buyback program was carried out from 17 May 2024 until 25 July 2024.
